Step A – Intro

LOI (Letter of intent) will be signed detailing the main points of the purchase agreement.

Step C – Purchase Agreement

When we achieve the current and / or Forward agreement, all parties will sign it.

The agreement is the purchase order.

T R C F is not a licensed cannabis supllier and/or buyer company in any state or International Jurisdiction in which it operates, clearly understands that our customers are licensed participants in their respected States of Origin or International Jurisdiction.

T R C F attest to awareness and understanding that regardless of the country or state of Origin’s laws, cannabis is still considered a controlled substance by the Controlled Substance Act (CSA).

CONFIDENTIALITY POLICY

  • All Parties are obligated to maintain confidentiality of any business information which relates to other parties and not disclose it to any third party; business information is to be interpreted in the broadest sense and includes any information which is disclosed to the agreement.
  • Details of this Agreement, including the name of the Parties, the price, the date of delivery and the quantity shall remain confidential after its signature, unless otherwise determined.
  • Parties also agree that following the mutual execution of this agreement, it is expressly agreed that the identities of any individual or entity and any other third-parties including, without limitation, financial sources, manufacturers and consultants discussed and made available, in respect of the purpose shall constitute “Confidential Information” and the recipient or associated entity or individual shall not, without prior written consent of all parties, directly or indirectly initiate, solicit, negotiate, contract or enter into any business transaction, agreement or undertaking with any such third-party identified or introduced by Party A; or seek to bypass, compete, avoid or circumvent Party A in respect of any business opportunity that relates to the purpose by utilizing any Confidential Information or by otherwise exploiting or deriving benefit from said Confidential Information.
    A breach of this covenant shall entitle the aggrieved Party to damages caused by such disclosure as well as injunctive relief.
  • No use shall be made of the agreement, including advertising, capital raising, receipt of credit, etc., other than for Insurance issues, PRIOR to the signing of the agreement and the transfer of the irrevocable liability payment (Hereinafter: “Margin Fee”) to compliance with the agreement.
  • Party C and Party B will no transfer, pledge or sell any of their rights and or obligations under this Agreement without the prior written consent of Party A.
